About Boards of Directors

This document addresses all the aspects of creating and running an independent board of directors in a U.S. corporation. The board of directors is the governing body that is responsible to the owners, or stockholders, of the corporation.  The directors make decisions about key policies and the overall direction of the corporation and its business.  Directors, as such, do not “run” the corporation day-to-day or do the work of implementing most of the policy and strategic decisions, but some of the same people may be, and often are, officers or key employees of the corporation.  In those roles they may implement policies and run the corporation as a business.  Directors may, but need not, also be stockholders of the corporation.  Being a director has specific duties and rewards that are different from the duties or rewards of these other roles. This report provides detailed information about directorship roles and gives advice on how to select and operate a board effectively.
